A Limited Liability Company (LLC) is a formation that allows an owner(s) the protection of personal assets from the liabilities of the company.  An LLC is most commonly used for start-up companies and small business. An LLC can be suitable for small business owners who want to protect their assets from potential lawsuits.

There are many different advantages to forming an LLC. The administration side of forming a company can be tedious and overwhelming for some people. The administration burden is minimized with an Limited Liability Company formation due to less paperwork and minimum reporting requirements than other formation types. Another advantage when forming an LLC company is the tax benefit. When a person forms an LLC they are only taxed once on their profits. They are not required to pay both corporate and personal taxes on their profits.

An LLC can be formed in any state. You do not need to be located in the state that you form the LLC.

Prior to beginning the LLC process you will need to have the following information available:

  • The name of the company
  • Business owner(s) name
  • The location of the company

A company will allow you to choose several names during the process. The LLC company should provide services to check your company name prior to filing. Once the name has been selected and approved an LLC will register your name with the state. When a company forms an LLC they should prepare and file your articles with the Secretary of State of where the company is being registered. Once the articles have been filed your company LLC will be formed and active.
